As stated in one of our previous communications the car parking area in front of the sports hall on Penstowe was recently cleared in order that the Stone family, who own the Manor House buildings and some of the surrounding land, could assess the site with a view to applying for planning permission for residential housing.

We have been keeping an eye on developments and can confirm that an application for outline planning permission for five dwellings has been submitted.

The application includes the provision of 20 parking spaces for users of the Sports Hall.

Whilst the application has nothing whatsoever to do with Simon, nor the Penstowe Park leisure estate we have asked Simon for a statement on the impact of these and any benefits that it will bring for the Park plus an indication of when the building work might be undertaken if he is able to obtain this information.

Penstowe questions and Simon’s responses.
 
In order to respond to the questions that many owners have raised about the recent invoices and future of the Park, I have had several conversations with Simon and asked him to address the queries that owners have raised.
 
His responses are provided in this summary.
 
We hope that this addresses all of your questions and we can all move forward together into the new season.
 
I hope to circulate more Q&A’s with Simon in the future as plans for the coming year and the Manor House become clearer.
 
I firmly believe that this new relationship with Simon can only benefit us all in the long run.
 
On the basis of the clarifications that we have received from Simon, we now urge you to pay the Multistream Estates Limited invoice.
 
However, if anyone still has reservations about settling the invoice, please feel free to send the following qualification, which the POA committee has prepared, with your payment.
 
I/we have paid the invoice on the basis of feedback you have given that the Invoices are:
For the Period of the 2020 Season.
That VAT is included in the stated prices.
That the receivers of Penstowe Leisure Ltd have authorised you to collect this.
That the previous contractual arrangement re – increases and terms remain the same.
That paying this does not constitute tacit agreement for any changes.

Service charge/Fees
 
The term ‘Fees’ is used in the recent invoice to address the Service Charge. The invoice was prepared by me on a new billing system and the term was used as a catch-all. Future invoices will be more specific.
 
The cost goes towards the provision and use of roads, paths, street lighting, grass cutting etc. and the general upkeep of the site.
 
The total fees gathered from lodges, remains in line with the historic set up of site fees, with a small provision for inflation built into some but not all.
 
This does leave the site upkeep as a very lean operation.
 
 
Structure of the business
 
Multistream Estates Limited is the new company and has taken over the role of operating the Penstowe Park estate.  This is in relation to the operation of the Park itself and not the leisure facilities.
 
It is set out just the same in relation to my family’s ownership of the freehold of the site.
 
The legally binding agreement that freehold owners of lodges and the companies that hold the freehold of the leasehold lodges does not change.  These agreements are with my family as the freeholder of the Penstowe Park estate and then transferred to Multistream Estates Limited (previously transferred to Penstowe Leisure Limited) by my family (excluding the Manor House).
 
The winding up of Penstowe Leisure Limited does not change this arrangement at all.  Everything is ultimately the same as before ,as the core structure/site fees cannot change so we have to continue with the same structure for the site.
 
Owners are encouraged to refer to the deeds of their property for details of restrictions and stipulations that are to be observed by themselves, as so many of the property deeds vary across the Estate.
 
Electricity
 
Penstowe has its own electric distribution grid. This is not the responsibility of the utility provider who only provides power to two supply points on the site.

The electric distribution charge goes towards the maintenance and upkeep of the site’s private network.
This includes the cabling, distribution hub, switchgear, metering and the meters in each of the lodges.
The electricity that’s used (via either card meter, coin meter or credit meter within each lodge) doesn’t cover these costs.
 
CCTV
 
The charge for CCTV upkeep is for the provision of the CCTV for the Penstowe Park estate. Recording equipment is located in various locations around the site. The facility also includes some dummy cameras and is positioned to cover shared roadways, site entrance and exits where any of us, our guests, or troublemakers may pass.
 
There are plans to review and upgrade the CCTV network over the coming season.
 
The Manor House CCTV is independent and nothing to do with this charge.
 

Invoice Period
 
The invoices that owners have recently received, concludes 2020.
 
2021 site invoices are planned to be issued in June next year.
 
 
 
Penstowe letting owners’ invoices
 
Penstowe Leisure Limited gave Penstowe letting owners extended credit to allow them to generate income from a season of letting (this only happens with an owner that lets with us) because we pay those owners their share of the season’s letting income in December.
 
At that time, we raise a payment and deduct the cost of any site invoices to finalise that year.  A similar structure will continue with Multistream Estates Limited.
 
However, the norm for the majority of owners is that we would raise and issue invoices mid-season.
 
VAT
 
Multistream Estates Limited has applied to be VAT registered.
 
VAT is pending and all in hand, I can issue those who need a VAT invoice once HMRC give us our new number, until then we collect VAT, but can’t show it on an invoice.
 
For most owners this isn’t a concern as they aren’t VAT registered.
 
Liquidator position
 
Since it became apparent that Penstowe Leisure Limited could not weather the storm, I have been in regular communication with the liquidation company.  The correct procedure in this instance, is for the liquidator, prior to their formal appointment, to assess the viability of the business, its assets, debts and creditors.
 
Conversations are held with various interested parties to assess how best to move forward and service the debts.
 
I am pleased to inform you that the liquidator has reached an agreement with all parties and that it is in the interest of everybody.
 
Multistream Estates Limited can now operate the Park.  
 
The Manor House facilities
 
I strongly believe that the provision of leisure facilities at Penstowe is in the best interests of all owners, whether you let through Penstowe, privately or just use the place for your own holidays.
 
At this moment in time we do not know how much of the Manor facilities we can bring back on stream and much of that decision will depend on the success of the Crowdfunding process that Brian Evans of Ape Gym and Pizza has kindly instigated.
 
Discussions are underway with the family who own the Manor to facilitate this.
 
We anticipate that these facilities will be provided to lodge owners who would pay up front for a season’s membership, just as it had been for Club Penstowe, with payment made in the Spring, so all set for the season ahead.
 
We are determined and very confident in reopening next Spring, we are already pushing ahead with plans and look forward to sharing more in the near future.
 
 
Non-payment of charges
 
It is true that some lodge owners did not pay all of the sums invoiced for the 2019 season and cited various reasons for this.  Actions to recover this money are ongoing and are now under the control of the liquidator.
 
The historical nature of the agreements between the freehold lodge owners and freeholder of the land on which the leasehold lodges sit means that income from this is barely sufficient to provide the services that owners and the Penstowe Park estate would like.  Non-payment of any charges does not help with this and all lodge owners are encouraged to pay their dues.
 
 
Facilities such as road and ground maintenance, CCTV, electricity supply and refuse collection are provided for the benefit of all lodges and their owners.  There should be no exceptions.  The refuse bins, for example, have to be emptied whether an owner chooses to use them or not.
 
With the pressures to keep the Park afloat, there may have been some instances where chasing unpaid invoices had not been the most important task of the day, but that has to change.
 
Henceforth a more robust approach to collection of monies owed must be a priority.

Please pass on my thanks to all of those who have paid to date, we have received payment in full from approximately half of the lodge owners. I really cannot stress how important it is that we can restart this park on the right footing and with as much support as possible.
